How Freddie Blay, GNPC tried to ‘sell’ 50% of Ghana’s oil interest in Cape Three Points to PetroSA

The Minister for Energy, Dr. Matthew Opoku Prempeh, alias NAPO, in letters sighted by The Chronicle, slammed the Board Chairman of the Ghana National Petroleum Corporation (GNPC), Freddie Blay, for championing his outfit’s quest to offload oil interest of Ghana contrary to the directives of the government. The minister criticised Blay, a former national chairman of the New Patriotic Party (NPP), in letters he wrote to the GNPC board chair and President Nana Addo Dankwa Akufo-Addo while referring to letters issued by Blay and the board chair of South African National Company (PetroSA), the company buying the oil interest from Ghana, Nkululeko Poya. In the letter issued by Blay, which was dated April 23, 2023, the GNPC indicated that it had agreed with the proposal of PetroSA for an equal split of the 7 per cent interest that the Government of Ghana recently acquired from Anadarko West Cape Three Points Company (“Anadarko”). It added that PetroSA, in turn, will surrender any interest in the Deep Water Tano (DWT) held by Jubilee Oil Holdings Limited (JOHL), a subsidiary of the GNPC. The GNPC did, however, indicate that the deal was subject to the approval of the Energy Minister, Dr Matthew Opoku Prempeh. “Consistent with the said advice, the GNPC Board has considered and are agreeable to your proposal to share the interest in an equal split in the DWT interest held by JOHL. Our Board, considering your strong views in maintaining PetroSA’s claim to pre-emptory rights afforded under the DWT Joint Operating Agreement, and being desirous to continue to cultivate the cordial relationship between our two entities, agree that this split is prudent to both parties’ interests. “In agreeing to this split, we expect that PetroSA shall relinquish any further or future claims on the remainder of the DWT Interest held by JOHL. This agreement, however, as per the terms of Article 25 of the DWT Petroleum Agreement, remains subject to the written consent of the Minister of Energy for Ghana,” parts of the letter read. “We shall consider a long stop date of three (3) calendar months from the date of this letter to reach a final sale and purchase of the equal split in the DWT Interest held by JOHL subject to unforeseen and unexpected delays on the side of the Government of Ghana and its representatives on this matter,” it added. In response to the GNPC letter, PetroSA, in the letter dated May 7, issued by Poya, said that it agreed with the proposal. It added that it would approach NAPO to get his approval of the deal. “PetroSA, by extension PetroSA Ghana Ltd acknowledges and agrees that as part of the completion for this transaction, it will issue GNPC with a formal notice of relinquishment of rights to the remaining DWT interests held by JOHL. “We will formally approach your Honourable Minister for his consent to the assignment of the interest in question, to PetroSA Ghana Ltd,” the PetroSA letter read. “In looking to conclude the transaction optimally, we appoint Mr Linda Nene – General Manager-PetroSA Ghana Ltd as PetroSA’s senior responsible owner for this transaction supported by Miss Nombulelo Tyandela – PetroSA’s Group CFO. It would be appreciated to be informed who GNPC’s point of contact for this matter will be to facilitate expeditious exchange of information,” it added. Background: The Minister of Energy, NAPO, at a meeting with the Board of Directors of the GNPC, in October 2022, ordered the GNPC to cease the transaction it was having with the PetroSA regarding the sale of some of Ghana’s interest in the Anadarko West Cape Three Points Company (“Anadarko”). The government owns 7 per cent of the oil discovery in the West Cape Three Points block offshore Ghana which was discovered by Anadarko Petroleum Corporation, a US oil company. PetroSA owns 4.45 per cent interest in the Deep Water Tano (DWT) which is operated by Tullow Ghana Limited. By the proposed deal the government is seeking to exchange 3.5 per cent of its holdings in the Anadarko for the 4.45 per cent interest in the DWT owned by PetroSA. The Minister for Energy, Dr. Matthew Opoku Prempeh, alias NAPO, has called out the Board Chairman of the Ghana National Petroleum Corporation (GNPC), Freddie Blay, over the PetroSA deal, which seeks to offload some of Ghana’s oil interests to the South African National Company (PetroSA). According to The Chronicle newspaper, NAPO, in a letter to Freddie Blay, which it sighted, accused the former New Patriotic Party (NPP) chairman of pushing for the deal despite a government directive for it to cease. The energy minister, who is also the member of parliament for Manhyia South, told Blay that it is scandalous for him to be pushing for the deal even though he has been told on a number of occasions that it will not be approved because it is not in the interest of Ghana. He ordered the GNPC board chairman to withdraw from the deal and to stop further engagements on it. “Subsequent to the meeting with my counterpart, Hon. Gwede Mantasha, Minister of Mineral Resources and Energy in South Africa, on the above subject, I have had cause to formally respond to him in two successive correspondences affirming the government’s position on the matter, and you were in copy in all instances. “It is therefore scandalous that, in spite of these directives, you have led GNPC to offer part of the government-acquired JOHL interest in the DWT to PetroSA. I direct that you cease and desist from any further flouting of the directives forthwith and withdraw the offer made to PetroSA in your letter of 23 April 2023 immediately,” parts of Napo’s letter to Blay is quoted by The Chronicle. In another letter to President Nana Addo Dankwa Akufo-Addo, NAPO complained that Blay was going on with the PetroSA deal even though he had been directed not to. He told the president that the GNPC was trying to sell 50 per cent of the 7 per cent interest the government recently acquired in the Anadarko West Cape Three Points Company (WCTPC). “The Chairman of the GNPC Board, in the letter under reference, is inviting PetroSA to preempt the 7% interest that was recently acquired by the Government of Ghana from Anadarko West Cape Three Points Company (“Anadarko”) and proposing an equal split of the Deep Water Tano (“DWT”) portion which would decrease the government’s interest. “We wish to bring this action of the Chairman, which is in direct contravention of the Government of Ghana’s express directives on the subject matter, to the urgent attention of His Excellency the President,” parts of the letter which was addressed to the secretary to the president, read. It has emerged that, the board and management of the Ghana National Petroleum Corporation (GNPC) could be indulging in an act of illegality by going ahead to pay a whopping GHC9 million as severance package to ex-Chief Executive Officer (CEO), Dr Kofi Koduah Sarpong. The Herald’s investigations into the demand by Dr Sarpong, who was a Managing Director of the GNPC, have revealed that he is entitled to less than GHC2 million, but not the GHC9 million the board and management are being forced to cough up on the orders of the Attorney General and Minister of Justice, Godfred Yeboah Dame. GNPC insiders, have disclosed to The Herald that per the agreement that brought Dr Sarpong to the institution in January 2017 to this year, when he left despite demanding an extension of his tenure in office, he is only entitled to GHC1.8 million, and that any amount beyond this, would amount to an act of illegality. The Herald, had picked up reports that the board of GNPC, is about to dole out a whopping GHC9 million to Dr Sarpong, who was sent home after a five-year tenure. The payment of the severance package is said to be on the direction of the Attorney General and Minister of Justice,. It is unclear, how the Attorney-General arrived at the GHC9 million. However, details of Dr Sarpong’s contract in the custody of The Herald, mentioned his monthly gross basic salary at the time of his engagement as Eighty Thousand Ghana Cedis (GH¢80,000.00) but added the “salary shall be reviewed annually by the Board on or about the anniversary date of the appointment”. He also took home a duty allowance of thirty five percent (35%) on monthly salary per the contract. A portion of the contract and termination said that “upon separation from the Corporation, the Chief Executive shall if termination is before the end of his contract, be entitle to six (6) months’ notice upon payment of six (6) months basic salary in lieu of notice. Taxes due shall be borne by the Corporation”. He was to “be entitled to four (4) months of his monthly gross salary for each year worked, as separation pay” and “be paid 30% of his full annual gross salary as performance bonus”. The GNPC board led by Freddie Blay, the immediate past National Chairman of the New Patriotic Party (NPP) had earlier kicked against the payment of a severance package to Dr Sarpong, saying he was not entitled to any such payment, because he had finished his tenure. But The Herald’s information was that, Dr Sarpong, who was dissatisfied with the decision of the board, through his lawyer, Kwabena Tahir Hammond also known as KT Hammond, petitioned the Attorney General on the matter. The Attorney General, is said to have written to the GNPC, authorising them to pay Dr Sarpong some GHc9 million. The directive is said to have left a bitter taste in the mouths of many staff and management of GNPC, and they have since been murmuring. They feel politicians in the ruling party, have ganged up to rape the state coffers. The Herald, is meanwhile hearing about some huge debt left behind by Dr Sarpong’s management. There are reports that even some members of the board, are livid at the instruction of the A-G. Some insiders, have claimed that the amount previously demanded by Dr Sarpong from the board, was by far less than what the A-G, has directed GNPC to pay him. Dr Sarpong was over aged at the time of his appointment, having gone beyond the mandatory retirement age of 60 years for a CEO of GNPC. He was 63 at the time, but was pushed by the then Energy Minister, Boakye Agyarko. Below are portions of Dr Sarpong’s contract signed on h July 26, 2017 REMUNERATION In remuneration for the employment the Company will pay to the Employee a monthly gross basic salary of Eighty Thousand Ghana Cedis (GH¢80,000.00) 2. Salary shall be reviewed annually by the Board on or about the anniversary date of the appointment 3. A duly allowance of thirty five percent (35%) shall be paid on monthly salary 4. An annual performance bonus shall be paid at the rate of thirty (30%) or the maximum rate approved for the staff of the Corporation whichever is higher. 5. Employer Provident Fund equivalent payments will be pay into a private fund of your choice. Similarly, Employee Provident Fund deductions will be paid into the same private fund of your choice. 6. The Company, shall provide the Chief Executive with a fully furnished residential accommodation. If he elects to live in his own private accommodation, he will be paid housing allowance annually at the rate of 50% of annual gross salary. 7. In addition, to the housing allowance, the Chief Executive will be paid the prevailing housing furnishing cash allowance of GH¢80,000.00, if he elects to live in his own private residence (This is paid every 4years) 8. The Company, shall provide or pay for One (1) Cook; One (1) House help, One Gardener and Security service at the Chief Executive’s residence. 9. The Chief Executive will be provided with a computer, printer, scanner, shredder, fax machine, telephone landline, internet facilities and a 45KVA generator at his residence. 10. The cost of utilities (i.e. electricity, water and residential telephone service, DSTV (premium bouquet), internet service, mobile phone and generator fuel will be borne by the Corporation. However, an election can be made for the Utility Allowance to be paid at the existing 12% rate (per Corporation policy) in lieu of the above utility costs 11. The Company shall provide the Chief Executive with two duty post for use together with a driver assigned on full time basis. NPP to replace old cards with biometric membership cards

The old membership cards of members of the ruling New Patriotic Party (NPP) will soon fade out to make way for new biometric or electronic membership cards this year. This was announced by the party leadership, who are currently on tour in Kumasi. The new policy would coincide with a membership drive project by the party to help register more members into the party to solidify its chances of retaining political power in 2024. The yet-to-be introduced party cards would have a special feature whereby all registered members would be automatically hooked onto a centralised computer system to make for easy identification. When officially rolled out, the new party cards would make it possible for all NPP registered members to be in the same folder, a move that would boost the compilation of party data and do away with recurring fracas over the compilation of party albums for primaries. This was announced when National Executives of the NPP, led by National Chairman Freddie W. Blay, interacted with some Ashanti Regional NPP bigwigs. The executives are currently touring the regions to take stock and identify problems they faced during the 2020 general election, and take steps to rectify the problems. The closed door meeting, held over the weekend in Kumasi, was attended by NPP Executives from all the 47 constituencies in region, and key party matters were discussed there. National Executives of the NPP, including John Boadu, Sammi Awuku, Lawyer Henry Nana Boakye, aka ‘Nana B’, Kate Gyamfua, Rita Asobayire, Abdul Aziz Haruna Futa, just to mention a few, took turns to address the party members. A source told DAILY GUIDE that even though several party issues were discussed at the meeting, the electronic party cards for NPP members was a standout as it excited the members. According to him, the electronic party cards would help bring several advantages to the NPP, including proper management and data keeping among others, and those at the meeting were in full support. Checks made by DAILY GUIDE were indicating that the delegates at the meeting proposed next month for the start of the electronic cards, subject to approval by the National Council. Mr. Blay took the opportunity to caution all members interested in competing for the 2024 flag bearer position to be measured in the way they were approaching issues, saying their actions had the tendency to distract the Akufo-Addo-led government from delivering their mandate. “A lot of the people who may be interested in the flag bearer position, particularly individuals who are interested may come from his cabinet or may be appointees who should be working to execute policies and programmes of his government, but they may be more focused on nurturing their ambition towards the flag bearer position. And that is where it is extremely negative and distracting, and therefore the party frowns on that,” he explained. General Secretary NPP General Secretary John Boadu later threw more light on the nationwide exercise of compiling a register of all the members of the party. He said it would cover the over 38,000 polling stations in the country, and it formed part of the party’s restructuring and reorganization efforts. He encouraged every member of the party to go to their respective polling stations and get their details captured in the membership register which would be kept at the polling station levels, and updated every six months in line with Article 3(10) of the NPP Constitution.
